FIAT now worth more than GM

General Chat

Q:

Click to read this interesting tidbit.
They don't explain the difference between market cap and enterprise value though. GM's assets are at $276 billion.
Pretty soon we might be driving around in FIAT Pandas over here.

and yes ZX, as of March 27, 1999, Renault owns Nissan
God must love stupid people, he made SOOOOO many of them!
A:

And off they go to Nashville... (the japanese love banjo music).
FWIW: Ford owns a large percentage of Mazda, but not a complete controlling interest. But the other marques they bought outright and pretty much regret those decisions from a current financial standpoint. Jaguar has not shown a profit since its purchase.

what are you talking about? Jaguar were complete POS's before Ford and wouldve failed as a company if they were not bought. Not that they are much better now, but Ford saved them and definitley improved jaguar quality.

On 3/27/99 Renault bought a 36.8% stake in Nissan, in 2002 that increased to 44.4%. Nissan owns a 15% stake in Renault. How do you figure that Renault owns Nissan?
A:

if someone owns almost 50% (and continuing to increase that percentage) then it's just semantics whether they own them (or powned nissan).
A:

Ha ha...when you guys want to know how it works, let me know.
Renault owns what is called a controlling interest. They don't own Nissan. They own their business. The influence that Renault exerts over Nissan is two fold: 1 - they own pretty close a majority percentage. It is doubtful that there is any other shareholder, institutional or otherwise, that owns as big a percentage. Therefor they carry the most weight in the boardroom. However, it is a democracy and they can be overruled because they do not own a controlling stake
2 - Nissan is now concerned about creating value for it's largest shareholder, Renault. If it does not do this, then Renault gets angry and either buys the company out or dumps all of it's shares and the stock price plummets.
So there you have it. Renault doesn't own Nissan, not yet, maybe never. They, like Carlos Ghosn or Joe Schmo, own a piece of Nissan, a very large piece. the bigger your piece, the more "ownership" you have. Kinda like when you and your roommate buy a TV in college, and you split it 25/75 and therefore he owns "more" of the TV and usually gets to watch what he wants to watch. Just a practical example. If you have any other questions regarding corporate ownership, equity distribution, shareholder dilution....let me know.
Oh, and the difference in Market Cap and EV is this:
Mkt. Cap - cash + debt, preferred, and minority interest = TEV (total enterprise value). Therefor, and cash rich company may have an extremely high Mkt Cap. because they have been rakin in the equity earnings, but a rather low TEV becuase they are hoarding it all for a significant growth or acquisition maneuver...
Ah, I could go on.

Nissan's CEO (Ghosn) transferred to Nissan from Renault. Renault is also looking to acquire another 7% I believe. That is called a controlling interest, aka ownership. Nissan is moving their headquarters to a building about 1,000 feet from my office. 1500 new workers vying for parking spots makes my Z an unhappy camper (she likes to take 3 spots for herself in the back)

More like in the 70's.
A:

if that's not owning, what is.
A Renault guy is CEO of both Renault and Nissan. If that's not owning, what is?
A:

How is 44.4% ownership??? If you had 44% of something I would say you dont own it. 44% of your house paid off or your car paid off is not ownership. The bank, or mortgage company "owns" your house or car still till 100% is paid off.
44% and 100% is not close, 99% and 100% is night and day, like this Fiat

If you own 44.4% of a company's outstanding stock, you may have what's called controlling interest. If nobody else can accumulate the voting rights your 44.4% interest has, then YOU CONTROL THE COMPANY. You OWN it.
Wow.
